Terms of Service and Business

 

1. Introduction

These Terms of Service and Business (“Terms”) apply to all consultancy, recruitment, advisory, coaching, and related professional services delivered personally by Liz Gadd, acting as a director and consultant for Moxie & Mettle Ltd and Gadd & Gadd Limited (“we”, “us”, “our”). By engaging with Liz Gadd or either Company, you agree to be bound by these Terms.

2. Scope of Services

Services may include, but are not limited to:

  • Recruitment, talent search, and candidate introductions
  • Consultancy and advisory services
  • Coaching, mentoring, and career guidance
  • Workshops, training, and events
  • Any additional services agreed in writing

The specific scope, deliverables, and fees will be confirmed in writing (email is sufficient).

3. Professional Standards

We are committed to:

  • High‑quality, professional service
  • Confidentiality and integrity
  • Transparent communication
  • Compliance with UK law and industry regulations

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Notify us of relevant changes
  • Treat candidate information as confidential
  • Comply with employment and data protection laws

5. Fees and Payment

  • Fees are agreed in writing before work commences
  • Invoices are payable according to the contracted terms
  • Late payments may incur statutory interest
  • Pre‑approved expenses will be invoiced at cost

Recruitment fees (e.g., percentage of salary, fixed fees, retainers) will be set out separately.

6. Candidate Introductions

Where recruitment services are provided:

  • An introduction occurs when candidate information is supplied by any means
  • If a candidate introduced by us is engaged within 12 months, the agreed fee becomes payable
  • Clients must notify us immediately upon hiring an introduced candidate

7. Data Protection & Privacy

We collect and process personal data in accordance with UK data protection law.

We may collect:

  • Contact details
  • CVs, profiles, employment history
  • Skills, qualifications, references
  • Publicly available professional information
  • Employer and supplier contact details

We process data for legitimate business interests, including:

  • Delivering recruitment and consultancy services
  • Matching candidates to opportunities
  • Communicating relevant updates
  • Fulfilling contractual obligations

Data is stored securely using Capsule CRM (Amazon cloud storage). You may request access, correction, deletion, or restriction at any time by emailing liz@lizgadd.co.uk

8. Confidentiality

All information shared between the parties is confidential unless:

  • It is publicly available
  • Disclosure is required by law
  • It relates to a candidate being introduced to a client

9. Limitation of Liability

To the fullest extent permitted by law:

  • Services are provided on an “as is” basis
  • No guarantee is made regarding outcomes or candidate suitability
  • We are not liable for indirect or consequential loss
  • Total liability is limited to the fees paid for the specific engagement

Clients remain responsible for due diligence and hiring decisions.

10. Intellectual Property

All materials created by us remain our intellectual property unless expressly transferred in writing. Clients receive a non‑exclusive licence for internal use only.

11. Termination

Either party may terminate an engagement with reasonable written notice. Fees for work completed up to the termination date remain payable. Recruitment introduction fees remain payable if a candidate is hired after termination.

12. Changes to These Terms

We may update these Terms from time to time. The latest version will be provided on request or published on our websites.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
